Terms of Service

1. Ownership & Intellectual Property

This online training platform, including all course content, interactive modules, quizzes, branching scenarios, written materials, audio narration, cheat sheets, graphics, software code, and user interface design (collectively, the "Platform"), is the exclusive intellectual property of Webbi.

All rights, title, and interest in the Platform, including but not limited to copyrights, trademarks, trade secrets, and any other proprietary rights, are owned by and reserved to Webbi. No transfer of ownership occurs through the purchase of a subscription or access license.

The Platform may be offered under the branding of authorized distribution partners. Such branding does not constitute a transfer of intellectual property rights. Webbi remains the sole owner of all Platform content and technology regardless of branding.

2. License Grant

Upon payment of the applicable subscription fee, Webbi grants the subscribing organization ("Licensee") a limited, non-exclusive, non-transferable, revocable license to access and use the Platform under the following terms:

• Single-location license: Each subscription covers one physical facility address ("Location"). A Location is defined as one physical street address where operations occur. Separate buildings, plants, or mill sites at different addresses each require their own subscription.
• Authorized users: Access is limited to employees of the Licensee who are assigned to and regularly work at the licensed Location.
• No credential sharing: Login credentials are assigned to individual operators and may not be shared between individuals or used by employees at unlicensed facilities.
• Term: The license is valid for the duration of the paid subscription period (annual contract) and automatically terminates upon non-renewal or non-payment.

3. Prohibited Uses

Licensees and their authorized users may not:

• Copy, reproduce, download, record (screen capture, video, audio, or otherwise), or create derivative works from any Platform content
• Redistribute, share, publish, or make available any Platform content to individuals or organizations outside the licensed Location
• Use Platform content to develop competing training materials or products
• Remove, alter, or obscure any copyright notices, watermarks, or proprietary markings
• Share login credentials between individuals or allow access by unauthorized users
• Access the Platform from unlicensed facility locations using credentials assigned to a licensed Location
• Reverse engineer, decompile, or disassemble any software components of the Platform
• Use automated tools (bots, scrapers, etc.) to access, extract, or download Platform content

4. Printable Materials

The Platform includes printable quick-reference cheat sheets for operator use. These materials:

• May be printed and distributed only to authorized users at the licensed Location
• May not be reproduced for use at unlicensed facilities
• May not be modified, rebranded, or incorporated into other training materials
• Must retain all copyright notices and Webbi attribution

5. Administration & Progress Data

The Platform provides administrative dashboards for tracking operator training progress, completion status, and certification records. This data:

• Is owned by the Licensee with respect to their operators' usage data
• May be exported or used by the Licensee for internal compliance and record-keeping purposes
• Will be retained for the duration of the active subscription plus 90 days following termination
• Webbi reserves the right to use anonymized, aggregated usage data for product improvement purposes

6. Training Disclaimer

The Platform is designed to supplement — not replace — hands-on equipment training, manufacturer guidelines, and site-specific safety procedures. The training content:

• Provides general technical education based on industry best practices
• Does not account for site-specific equipment configurations, modifications, or operating conditions
• Should not be used as the sole basis for operating decisions where equipment-specific manufacturer guidelines exist
• Does not replace OSHA-required training, site-specific lockout/tagout procedures, or other regulatory compliance training

Webbi and its distribution partners are not liable for operational decisions made based on Platform content. The Licensee is responsible for ensuring operators receive all required site-specific and regulatory training.

7. Termination

Webbi reserves the right to suspend or terminate access to the Platform if:

• The Licensee fails to pay the applicable subscription fee
• Credential sharing or unauthorized multi-location use is detected
• Content is copied, recorded, redistributed, or used in violation of these Terms
• The Licensee breaches any provision of these Terms of Service

Upon termination, all access rights cease immediately. The Licensee must destroy any printed materials and certify destruction upon request.

Data Deletion Warning: Upon cancellation or non-renewal of a subscription, all training progress data, team member records, completion certificates, and associated account data will be permanently deleted after a 90-day retention period. This data cannot be recovered. If you re-subscribe at a later date, all training progress will start from zero. It is the Licensee's responsibility to export or record any needed data before the subscription ends.

8. Modifications to Terms

Webbi reserves the right to modify these Terms of Service at any time. Licensees will be notified of material changes via the email address associated with their account. Continued use of the Platform following notification constitutes acceptance of the modified terms.

9. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Wisconsin, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Wisconsin.
